These Terms of Use explain how Scorpio Five Star Car & Limo Service Inc. (“Scorpio,” “we,” “our,” or “us”) operates and the terms under which transportation services may be requested or coordinated through our office, website, mobile application, or any third-party platform we may use now or in the future.

By requesting, scheduling, or using transportation services through Scorpio, whether by phone, text message, email, website, mobile application, or third-party platform, you agree to be bound by these Terms.

1. OUR ROLE AS A BOOKING AND COORDINATION SERVICE:

Scorpio operates solely as a booking and service coordination company. We do not provide transportation services ourselves.

When a ride is booked, Scorpio connects the customer with a licensed, independently insured driver who operates their own vehicle and provides transportation directly to the passenger. Drivers are independent contractors, not employees, partners, or agents of Scorpio.

Scorpio does not control how a driver operates their vehicle, the route selected, driving decisions, or the manner in which transportation services are performed.

2. HOW BOOKINGS AND ACCEPTANCE WORK:

Bookings are currently handled primarily by phone and may also be handled by text message, email, website, mobile application, or third-party booking platforms as they become available.

When a booking is made by phone, verbal confirmation of the ride constitutes acceptance of these Terms. For online, app-based, or electronic bookings, acceptance may occur through electronic confirmation or continued use of the service.

Scorpio may update these Terms from time to time. Continued use of our services after updates constitutes acceptance of the revised Terms

3 . SERVICE AVAILABILITY AND MODIFICATIONS:

Scorpio does not guarantee the availability of drivers, vehicles, or service at any particular time or location. Service availability depends on independent driver participation, demand, traffic, weather, and other factors outside Scorpio’s control.

Scorpio reserves the right to modify, suspend, or discontinue any aspect of its booking or coordination services at any time, temporarily or permanently, without notice.

4. FARES, ESTIMATES, AND CORRECTIONS:

Fare estimates provided at the time of booking are based on information reasonably available at that time, including distance, estimated travel time, traffic conditions, and service type.

Actual fares may vary due to route changes, delays, passenger requests, tolls, waiting time, or other factors. Estimates are not guarantees.

Scorpio reserves the right to correct booking errors, pricing errors, or service descriptions when identified.

5. DRIVERS AND VEHICLES:

Drivers coordinated through Scorpio:

a. Own or lease their own vehicles,
b. Maintain required licenses, registrations, and permits,
c. Carry their own commercial or legally required automobile insurance,
d. Are responsible for vehicle maintenance, condition, fuel, tolls, and legal compliance.

Scorpio may verify documentation for administrative purposes but does not guarantee a driver’s ongoing compliance, insurance coverage, or performance.

6. PASSENGER RESPONSIBILITIES:

Passengers are expected to:

a. Provide accurate booking information,
b. Wear seatbelts and follow reasonable safety instructions,
c. Conduct themselves respectfully and lawfully,
d. Refrain from damaging vehicles or interfering with the driver.

Scorpio and its drivers reserve the right to refuse or discontinue service when necessary for safety, legal compliance, or operational reasons.

7. PAYMENTS:

Payment methods may include cash, credit card, or debit card, depending on the service and booking method.

In some cases, payment is made directly to the driver. In other cases, payment may be processed through Scorpio or a third-party payment processor.

Scorpio may receive a flat fee or percentage of the fare from drivers in exchange for booking and coordination services.

8. NON-EMERGENCY MEDICAL TRANSPORTATION (NEMT):

Scorpio coordinates non-emergency medical transportation only where legally authorized.

NEMT services are limited strictly to transportation. Neither Scorpio nor its drivers:

a. Provide medical care,
b. Provide medical supervision,
c. Offer medical advice or treatment.

In the event of an emergency, drivers are instructed to stop safely and contact emergency services.

Insurance approvals, coverage determinations, and payments for NEMT services are controlled by third-party insurers or brokers. Scorpio does not guarantee insurance approval or reimbursement.

9. ASSUMPTION OF RISK:

Transportation involves inherent risks, including traffic conditions, road hazards, weather, mechanical issues, and the actions of third parties.

By booking a ride, you acknowledge and accept these risks and agree that responsibility for vehicle operation rests with the driver, not Scorpio.

10. LIMITATION OF LIABILITY:

To the fullest extent permitted by law:

a. Scorpio is not responsible for accidents, injuries, property damage, delays, losses, or claims arising from a driver’s conduct or vehicle operation,

b. Any claim related to transportation services must be pursued against the driver and the driver’s insurer,

c. Scorpio is not liable for indirect, incidental, consequential, or punitive damages.

If Scorpio is found liable despite the above, its total liability is limited to the amount paid toScorpio for the specific booking giving rise to the claim.

11. INDEMNIFICATION:

You agree to indemnify and hold harmless Scorpio from any claims, damages, losses, or expenses arising out of:

a. Your use or misuse of the services,
b. False or incomplete information provided during booking,
c. Your conduct during a ride,
d. Violations of law or these Terms.

12. FEEDBACK AND SUBMISSIONS:

Scorpio welcomes feedback, suggestions, ideas, and recommendations regarding its services, systems, and operations.

Any feedback, ideas, proposals, or other submissions provided to Scorpio, whether voluntarily or at Scorpio’s request, may be used, implemented, modified, or disregarded by Scorpio at its sole discretion.

Submission of feedback does not create any obligation of compensation, acknowledgment, confidentiality, partnership, joint development relationship, or ownership interest in favor of thesubmitting party.

13. FORCE MAJEURE:

Scorpio is not responsible for delays, cancellations, or failures to perform caused by events beyond its reasonable control, including but not limited to weather, traffic incidents, road closures, mechanical failures, emergencies, labor issues, or governmental actions.

14. DISPUTE RESOLUTION:

Any dispute arising out of these Terms or the services provided shall be resolved by binding individual arbitration under the laws of the State of New York.

Class actions are not permitted. Jury trials are waived where allowed by law.

15. GOVERNING LAW:

These Terms, and any dispute or claim arising out of or related to them or the services provided, shall be governed by and interpreted in accordance with the laws of the State of New York. New York law will apply regardless of where a booking is made or where a user or passenger may be located, and without applying any rules that would require the laws of another state to be used.

16. SEVERABILITY AND ENTIRE AGREEMENT:

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

These Terms constitute the entire agreement between you and Scorpio regarding the services.

17. UPDATES TO THESE TERMS:

Scorpio may revise these Terms from time to time to reflect changes in its services or business practices. Any updated terms will apply only to bookings made after the updated version is made available.

18. ACCEPTANCE OF TERMS:

By requesting or booking a ride through Scorpio, you confirm that you have read these Terms of Use, understand them, and agree to be bound by them.
